ActualRep

Terms of Use

These Terms of Use (the "Terms") form a legally binding agreement between you and Syntalink, the operator of ActualRep ("ActualRep", "we", "us" or "our"), and govern your access to and use of the ActualRep website, its subdomains, and all related services (together, the "Service"). By accessing or using the Service, by creating an account, or by submitting any content, you accept these Terms in full. If you do not accept them, you must not use the Service. Our Privacy Policy and our Community Charter are incorporated into these Terms by reference.

1. Eligibility

You may use the Service only if you are at least 18 years old, or the age of majority in your country of residence, and legally able to enter into a binding contract. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation. We may refuse, suspend, or terminate access to anyone, at our discretion, to the extent permitted by law.

2. What ActualRep Is

ActualRep is a public platform where anyone can look up a website domain and see, or contribute to, its reputation: ratings, written reviews, and community forum discussion. Its purpose is to let people share and read honest, crowd-sourced signal about domains before trusting them with their time, money, or data. ActualRep is a neutral intermediary that stores and displays content created by its users. We are not the author, editor, or endorser of that content, and a listing on ActualRep does not mean we recommend, warn against, or have any relationship with the domain concerned.

3. Accounts and Pseudonymity

To contribute, you must create an account. Accounts are pseudonymous: you choose a public pseudo, and your email address is never shown to other users. You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account. You must not create accounts to evade a suspension, a rate limit, or any enforcement measure, nor operate multiple accounts to inflate, coordinate, or otherwise manipulate reputation. See our Privacy Policy for how account data is handled.

4. Reviews Must Reflect a Genuine Experience

Every review, rating, or post you submit must be based on your own genuine experience or interaction with the domain, or on facts you honestly and reasonably believe to be true. You must not submit content that is fabricated, that relates to a domain you have no real basis to assess, or that is written to reward, punish, or distort reputation artificially. You must disclose any conflict of interest (for example, if you own, work for, compete with, or were paid in connection with the domain). Selling, buying, trading, incentivising, or coordinating reviews is strictly prohibited.

5. How We Handle Reviews and Content

For transparency, and in accordance with applicable consumer-information rules, we tell you plainly how content is processed:

  • Reviews and posts are published automatically and are not verified, edited, or approved by us before they appear. We do not check the identity of authors or the truth of what they write.
  • We do not accept payment to publish, alter, promote, reorder, or remove genuine reviews, and no paid feature suppresses or hides authentic user content.
  • Content is subject to automated and community moderation after publication (see section 9). We display content in the order and form produced by the Service, which may change over time.
  • There is no fixed time limit on publication, and content generally remains available as a lasting record.

6. Content Is Public

Reviews, ratings, forum posts, replies, and any other content you submit are public by design. They are visible to anyone visiting the site, signed in or not, and pages built from this content may be indexed by search engines and reproduced in search results. Do not post anything you do not want to be public, including personal information about yourself or anyone else.

7. You Are Responsible for What You Post

You are solely responsible for the content you submit and for the consequences of submitting it. You represent and warrant that your content is lawful, is not defamatory, does not infringe any third-party right (including privacy, personality, intellectual property, or trade-secret rights), and, where it states facts, is accurate to the best of your knowledge. ActualRep does not verify content before publication and does not endorse any opinion expressed by a user. Any decision you make based on content found on the Service is made at your own risk.

8. Prohibited Content and Conduct

You agree not to submit content, or engage in conduct, that:

  • Is defamatory, or is knowingly false and presented as fact;
  • Harasses, threatens, bullies, incites violence against, or targets an individual;
  • Is unlawful, or promotes or facilitates illegal activity;
  • Is hateful, discriminatory, obscene, or sexually exploitative;
  • Impersonates any person or organisation, or misrepresents an affiliation;
  • Contains spam, advertising, scams, malware, or malicious or deceptive links;
  • Discloses another person's private or identifying information without consent (doxxing);
  • Is designed to manipulate a domain's reputation, including fake reviews, review trading, incentivised reviews, sock-puppet or multi-account activity, coordinated brigading, or automated posting;
  • Infringes any intellectual-property, privacy, or contractual right, or breaches any applicable law;
  • Attempts to probe, scrape at scale, overload, disrupt, reverse-engineer, or circumvent any security, rate limit, or access control of the Service.

9. Moderation, Reporting and Enforcement

Moderation on ActualRep is largely automatic. Posting is subject to rate limits, and content may be analysed by automated tools to detect abuse, manipulation, and offensive material. Any user can report content they believe breaches these Terms, through the on-site reporting tools or at contact@actualrep.com. Reported content is generally not deleted; instead it is folded behind a "reported" banner so that readers choose whether to expand and read it, which preserves a fair record for both sides while flagging that the content is contested.

We may, at our discretion and without prior notice, fold, restrict, remove, or reorder content, reset a pseudonym, apply rate limits, or suspend or terminate an account, in particular where content or conduct is manifestly unlawful, breaches these Terms, or harms the integrity of the Service or the rights of others. Where we take a moderation measure against your content, we will, where required by law, provide you with a statement of the reasons for it. Our enforcement is a right, not an obligation, and taking or not taking any measure in one case does not oblige us to do so in another.

10. Notice of Illegal Content

If you consider that content on the Service is unlawful, you may notify us at contact@actualrep.com. To be effective, your notice should identify the content and its exact location (for example, the page URL), explain why you consider it unlawful, and provide your contact details and, where relevant, a statement of good faith as to the accuracy of your notice. This address also serves as our single point of contact for authorities and for notices under applicable digital-services and hosting legislation. We act on notices of manifestly unlawful content promptly once we have actual knowledge of it.

11. Licence You Grant Us

You keep any rights you hold in the content you submit. By submitting content, you grant Syntalink a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, reproduce, display, adapt for formatting, distribute, and otherwise use that content in connection with operating, promoting, and improving the Service, including in search results, feeds, and excerpts. This licence continues for as long as the content remains on the Service and, thereafter, only to the extent needed for backups, legal compliance, dispute records, and the integrity of the historical record. You waive any claim to payment for this use and confirm you have all rights necessary to grant it.

12. Verified Owners: Right of Reply and Premium Actions

If you verify that you own or operate a domain listed on ActualRep, you receive a free right of reply: you can respond publicly to reviews and posts about your domain. Declaring the legal entity behind your domain is also free and has no effect on the reputation score; depending on the available official register, this identity is shown as "Verified" (confirmed by a public register) or "Declared" (self-reported and not verified by us). Other optional actions, some free and some paid (for example highlighting a response, publishing a major update, or a "fresh start" that archives the reputation history), may be offered; they do not remove, hide, or suppress genuine user content, and do not guarantee any particular reputation outcome. Available features and their prices are shown on the Service and may change over time.

13. Premium Actions: Digital Services, No Right of Withdrawal

Premium actions are digital services supplied and performed immediately after purchase. Prices are shown before payment and are payable in full at the time of purchase. In accordance with Article L221-28 of the French Consumer Code, by buying a premium action you expressly request its immediate performance and acknowledge that you lose your 14-day right of withdrawal once performance has begun. Payments are processed by our payment provider; we do not store your full card details. VAT is not applicable (Article 293 B of the French General Tax Code). Except where the law requires otherwise, premium actions are non-refundable once performed.

14. Intellectual Property

The Service, including its software, design, layout, text we author, logos, and the "ActualRep" name, is owned by Syntalink or its licensors and is protected by intellectual-property law. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You must not copy, extract, reuse, or systematically scrape the Service or its database, in whole or in substantial part, without our prior written consent.

15. Our Role as Host and No Duty to Monitor

Within the meaning of Article 6 of the French law on confidence in the digital economy (LCEN, Loi n. 2004-575) and applicable European rules on intermediary services, Syntalink acts as a hosting provider for user-generated reviews and posts, not as their author or editor. We are not subject to any general obligation to monitor the content we store or to actively seek facts indicating unlawful activity. We put significant automated and human moderation in place to prevent abuse and manipulation, but these measures are voluntary and do not turn us into the author or editor of user content, and they do not create any liability for content that they do not catch.

16. Disclaimers

The Service is provided "as is" and "as available", without warranty of any kind, whether express or implied, to the fullest extent permitted by law. Reviews and forum content reflect the personal opinions of the users who posted them, not the opinions or verified facts of ActualRep. We do not warrant that the Service will be uninterrupted, secure, or error-free, and we do not guarantee the accuracy, completeness, reliability, or usefulness of any content on the Service. We are a hosting platform, not an advisor, rating agency, or certification body, and nothing on the Service constitutes professional, legal, financial, or security advice. The reputation score is an automated, purely informational indicator computed from user contributions; it does not constitute a statement of fact, a professional rating, or an assessment of a business's creditworthiness, quality, or legality. Business identities shown as "Declared" are self-reported by their authors and are not verified by us; only the "Verified" label indicates confirmation by an official register.

17. Limitation of Liability

To the fullest extent permitted by law, Syntalink is not liable for any content posted by users, for any conduct of users or third parties, for any decision you or anyone else takes based on the Service, or for any indirect, incidental, special, or consequential damage, including loss of profit, revenue, data, goodwill, or reputation, arising out of or in connection with the Service. To the extent any liability of ours cannot be excluded but can be limited, our total aggregate liability towards you is limited to the greater of the amounts you paid us for premium actions in the twelve months before the event giving rise to the claim, or fifty euros (50 EUR).

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for gross negligence or wilful misconduct, or any statutory rights you have as a consumer that cannot be waived. If you are a consumer, these limitations apply only to the extent allowed by the mandatory law protecting you.

18. Indemnification

To the extent permitted by law, you agree to hold Syntalink harmless from, and where permitted to indemnify it against, any claim, demand, loss, or reasonable cost (including legal fees) brought by a third party and arising out of content you submitted, your breach of these Terms, or your unlawful use of the Service. We may take sole control of the defence of any such matter, in which case you agree to cooperate with us.

19. Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your use creates a legal or security risk, or if we are required to do so by law. On termination, the licences you granted in section 11 survive with respect to content already submitted, and the provisions that by their nature should survive (including sections 7, 11, 14, and 16 to 25) continue to apply. Suspension or termination does not entitle you to a refund except where the law requires one.

20. Third-Party Domains, Links, and Services

Domain names referenced on the Service are factual identifiers used so that the community can discuss them; their presence does not imply any endorsement, partnership, or disparagement by us. The Service relies on third-party providers for hosting, payment, email, and moderation, and may contain links to third-party sites. We do not control and are not responsible for third-party sites or services, and your use of them is governed by their own terms.

21. Force Majeure

We are not liable for any failure or delay in providing the Service caused by events beyond our reasonable control, including outages of hosting, network, or third-party providers, cyber-attacks, acts of authorities, or other events of force majeure.

22. Changes to These Terms

We may update these Terms as the Service evolves or as the law requires. Material changes will be reflected on this page with an updated date and, where appropriate, notified to you. Continuing to use the Service after a change takes effect means you accept the revised Terms. If you do not accept a change, you must stop using the Service.

23. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets, provided your rights under them are not materially reduced.

24. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions stay in full force, and the invalid provision is applied to the maximum extent permitted or replaced by a valid provision closest to the original intent. These Terms, together with the Privacy Policy and the Community Charter, constitute the entire agreement between you and us regarding the Service and supersede any prior understanding on the same subject. Our failure to enforce any right is not a waiver of it.

25. Governing Law and Disputes

These Terms are governed by French law. Any dispute relating to the Service or to these Terms is subject to the jurisdiction of the competent French courts. If you are a consumer, this does not deprive you of the protection of the mandatory provisions of the law of your country of habitual residence, and you may bring proceedings in the courts that the law makes available to you. Before any court action, we encourage you to contact us at contact@actualrep.com so we can try to resolve the matter amicably.
